We are pleased that you have chosen to procure a license to access and use certain AG Bell online courses including the Parent Advocacy Training program coursework and materials made available by the Alexander Graham Bell Association for the Deaf and Hard of Hearing ("AG BELL").  As a condition to accessing, downloading, and/or using the AG Bell and AG BELL AND P.A.T. Materials, please note that  AG BELL requires all users/licensees to agree to the following terms and conditions.

ACCORDINGLY, BEFORE ACCESSING OR USING ANY PART OF THE AG BELL AND P.A.T. MATERIALS, YOU SHOULD READ CAREFULLY THE FOLLOWING TERMS AND CONDITIONS CONTAINED IN THIS END USER LICENSE AGREEMENT (THE “LICENSE AGREEMENT”) AS THEY GOVERN YOUR USE OF THE AG BELL AND P.A.T. MATERIALS.  BY CLICKING "I AGREE" AT THE END OF THIS LICENSE AGREEMENT OR BY INSTALLING, DOWNLOADING, ACCESSING, OR USING ANY PART OF THE AG BELL AND P.A.T. MATERIALS, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE AGREEMENT, YOU UNDERSTAND ITS TERMS AND CONDITIONS AND THAT IT IS A LEGAL AGREEMENT, AND YOU AGREE TO BE BOUND LEGALLY BY IT AND ITS TERMS AND CONDITIONS.  IF YOU DO NOT AGREE WITH THIS LICENSE AGREEMENT, YOU ARE NOT GRANTED PERMISSION BY AG BELL TO INSTALL, DOWNLOAD, ACCESS, OR OTHERWISE USE THE AG BELL AND P.A.T. MATERIALS.  IN SUCH CASE, PLEASE DO NOT CLICK "I AGREE" AND PROMPTLY RETURN AND/OR DELETE ANY MATERIALS RELATED TO THE AG BELL AND P.A.T. MATERIALS THAT YOU HAVE RECEIVED FROM AG BELL OR THAT YOU HAVE IN YOUR POSSESSION.

Terms and conditions

1. LICENSE GRANT.  Conditioned on your continued compliance with the terms and conditions of this License Agreement, this License Agreement provides you with a revocable, limited, non-exclusive, and nontransferable license to use the AG BELL AND P.A.T. Materials for your informational and internal business purposes only.  Notwithstanding the foregoing, any rights granted hereby are licensed and not sold or otherwise transferred or assigned to you or any third party.  References to "you" or "user" mean the entity (and its employees) or individual licensee and user of the AG BELL AND P.A.T. Materials and any permitted successor, assign, transferee, heir, or representative thereof.
2. LICENSE GRANT RESTRICTIONS.  Except as provided above, you may not modify, alter, translate, create derivative work(s) of, distribute, display, broadcast, transmit, reproduce, publish, license, sub-license, transfer, sell, exploit, rent, timeshare, outsource, provide on a service bureau basis, lease, grant a security interest in, assign or transfer any right(s) in, or otherwise use in any manner not expressly permitted herein the AG BELL AND P.A.T. Materials or any part thereof.  Specifically, you expressly agree that you are not using the AG BELL AND P.A.T. Materials for competitive reasons or for the purpose of designing or developing similar materials.  In addition, you may not remove or alter any proprietary notice on the AG BELL AND P.A.T. Materials or use any portion of the AG BELL AND P.A.T. Materials independently from the AG BELL AND P.A.T. Materials as a whole.  All rights not expressly granted to you herein are hereby reserved to AG BELL.
3. USER OBLIGATIONS.  By installing, downloading, accessing, and/or using the AG BELL AND P.A.T. Materials, you represent that you are of the legal age to create a binding agreement with AG BELL and agree to abide by all applicable local, state, national, and international laws and regulations with respect to your use of the AG BELL AND P.A.T. Materials.  You also agree to assume all responsibility concerning your use of the AG BELL AND P.A.T. Materials, including meeting any requirements or obligations of your contracts with third parties.  AG BELL assumes no responsibility or liability for any claims that may result directly or indirectly from the communications, agreements, or interactions you establish with third parties using the AG BELL AND P.A.T. Materials.
4. PROPRIETARY RIGHTS.  AG BELL or its licensors shall retain all ownership right, title, and interest in and to all software, programs, algorithms, methodologies, processes, procedures, content, information, and documentation associated with the AG BELL AND P.A.T. Materials.  ALEXANDER GRAHAM BELL ASSOCIATION FOR THE DEAF AND HARD OF HEARING, AG BELL, and all other names, logos, and icons identifying AG BELL and its products and services are proprietary trademarks of AG BELL, and any use of such marks without the express written permission of AG BELL is strictly prohibited.  Except as expressly provided herein, AG BELL does not grant any express or implied right to you or any other person under any intellectual or proprietary rights.  Therefore, unauthorized use of the AG BELL AND P.A.T. Materials may violate intellectual property or other proprietary rights laws as well as other domestic and international laws, regulations, and statutes, including, but not limited to, United States copyright, trade secret, patent, and trademark law.
5. CONFIDENTIALITY.  You acknowledge and agree that the certain of the AG BELL AND P.A.T. Materials contain proprietary trade secrets and confidential information of AG BELL (the "Confidential Information").  You agree to secure and protect the confidentiality of this Confidential Information of AG BELL in a manner consistent with the maintenance of AG BELL's rights therein, using at least as great a degree of care as you use to maintain the confidentiality of your own confidential information of a similar nature, but in no event using less than reasonable efforts.  You shall not, nor permit any third party to, sell, transfer, publish, disclose, or otherwise make available any portion of the Confidential Information to third parties, except as expressly authorized in this License Agreement.
6. SUBMISSIONS.  AG BELL welcomes your feedback and suggestions about how to improve the AG BELL AND P.A.T. Materials.  You agree that AG BELL shall have the perpetual, royalty-free, and irrevocable right to use such feedback and suggestions in any manner it deems desirable without providing any consideration, attribution, or payment to you.
7. WARRANTY DISCLAIMER.  ALTHOUGH AG BELL HAS USED COMMERCIALLY REASONABLE EFFORTS TO PROVIDE ACCURATE INFORMATION, NEITHER AG BELL NOR THE AG BELL AND P.A.T. MATERIALS OFFER ANY LEGAL, CLINICAL, OR OTHER PROFESSIONAL ADVICE.  AG BELL ALSO MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, COMPLETENESS, TIMELINESS, RELIABILITY, LEGALITY, OR ACCURACY OF THE AG BELL AND P.A.T. MATERIALS FOR ANY PURPOSE.  THE AG BELL AND P.A.T. MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT AS WELL AS ANY WARRANTY RELATED TO THE use, or the results of the use, of the AG BELL AND P.A.T. Materials or ANY documentation associated therewith.  THE ENTIRE RISK AS TO THE QUALITY OF AND RESULTS FROM THE USE OF THE AG BELL AND P.A.T. MATERIALS IS WITH YOU, AND YOU SHOULD NOT RELY ON ANY CONTENT IN THE AG BELL AND P.A.T. MATERIALS AS THE SOLE BASIS FOR ACTION OR ASSUME THAT ANY TACTICS DESCRIBED THEREIN WOULD ACHIEVE A PARTICULAR RESULT.  IF ANY OF THE DISCLAIMERS OR EXCLUSIONS SET FORTH IN THIS SECTION ARE DETERMINED BY A COURT OF COMPETENT JURISDICTION TO BE UNENFORCEABLE, THEN ALL SUCH EXPRESS AND IMPLIED WARRANTIES AND CONDITIONS PERMITTED BY LAW SHALL BE LIMITED IN DURATION FOR A PERIOD OF 30 DAYS AFTER THE EFFECTIVE DATE OF THIS AGREEMENT AND NO WARRANTIES OR CONDITIONS SHALL APPLY AFTER THAT PERIOD.
8. LIMITATION OF LIABILITY.  YOU AGREE THAT IN NO EVENT SHALL AG BELL BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE AG BELL AND P.A.T. MATERIALS BY YOU OR ANYONE ELSE OR FOR ANY INFORMATION, PROGRAMS, PRODUCTS, SERVICES, AND MATERIALS AVAILABLE WITH OR THROUGH THE AG BELL AND P.A.T. MATERIALS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF AG BELL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  WITHOUT LIMITATION OF THE FOREGOING, THE TOTAL LIABILITY OF AG BELL FOR ANY REASON WHATSOEVER RELATED TO USE OF THE AG BELL AND P.A.T. MATERIALS, INCLUDING FOR ANY INACCURACIES IN THE AG BELL AND P.A.T. MATERIALS, OR FOR ANY CLAIMS RELATING TO THIS LICENSE AGREEMENT OR THE AG BELL AND P.A.T. MATERIALS SHALL NOT EXCEED $1,000 (USD).  You acknowledge that the corresponding fees for use of the AG BELL AND P.A.T. Materials reflect the allocation of risk set forth in this Agreement and that AG BELL would not have entered into this Agreement without the limitations of liability set forth in this License Agreement.
9. INDEMNITY.  You agree to defend, indemnify, and hold harmless AG BELL and its affiliates, employees, licensors, agents, directors, officers, partners, representatives, shareholders, attorneys, predecessors, successors, and assigns from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) relating to or arising from your use of the AG BELL AND P.A.T. Materials and any breach by you of this License Agreement.
10. GOVERNING LAW.  This License Agreement has been made in and will be construed and enforced solely in accordance with the laws of the District of Columbia as applied to agreements entered into and completely performed in the District of Columbia.  Any dispute, controversy, or claim between the parties arising out of or in connection with this License Agreement as to its conclusion, existence, validity, interpretation, performance, or non-performance, breach, termination, and the assessment of damages including claims in tort whether arising before or after the termination of the License Agreement shall be resolved in accordance with this License Agreement.  Accordingly, you agree that any action to enforce this License Agreement will be brought solely in the federal or state courts in the District of Columbia, and all parties to this License Agreement expressly agree to be subject to the jurisdiction of such courts.
11. TERM AND TERMINATION.  This License Agreement and your right to use the AG BELL AND P.A.T. Materials will take effect at the moment you click "I AGREE" or you install, download, access, or use the AG BELL AND P.A.T. Materials, whichever occurs first, and is effective until terminated as set forth below.  This License Agreement will terminate automatically if you do not click "I AGREE" or if you fail to comply with any of the terms and conditions described herein, including by exceeding the scope of the license.  Termination or expiration of this License Agreement will be effective without notice.  You may also terminate at any time by ceasing to use the AG BELL AND P.A.T. Materials, but all applicable provisions of this License Agreement will survive termination, as outlined below.  Upon termination or expiration, any right to use the AG BELL AND P.A.T. Materials will immediately cease and you must return, destroy, or delete from your system all copies of the AG BELL AND P.A.T. Materials (and any associated materials) in your possession.  The miscellaneous provisions as well as the provisions concerning AG BELL's proprietary rights, submissions, confidentiality, indemnity, disclaimers of warranty and liability, termination, and governing law, however, will survive the termination or expiration of this License Agreement for any reason.
12. MISCELLANEOUS.  The parties agree that this License Agreement is for the benefit of the parties hereto.  Failure to insist on strict performance of any of the terms and conditions of this License Agreement will not operate as a waiver of that or any subsequent default or failure of performance.  A printed version of this License Agreement and of any related notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this License Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.  No joint venture, partnership, employment, alliance, or agency relationship exists between you and AG BELL as result of this License Agreement or your utilization of the AG BELL AND P.A.T. Materials.  Moreover, you may not bind AG BELL in any way or otherwise make any representations or statements for or on behalf of AG BELL without AG BELL's separate, express, and written permission.  This License Agreement represents the entire agreement between you and AG BELL with respect to use of the AG BELL AND P.A.T. Materials, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and AG BELL with respect to the AG BELL AND P.A.T. Materials.  If any provision of this License Agreement is held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this License Agreement will remain in full force and effect.  This License Agreement and any rights granted by AG BELL may not be assigned or transferred by you without the prior express written consent of AG BELL
